Wabtec Corporation has completed the acquisition of Frauscher Sensor Technology Group, a global supplier of axle counters, train-detection systems and wayside monitoring solutions. The deal, valued at €675 million, strengthens Wabtec’s signalling and Digital Intelligence portfolio.
Frauscher, founded in 1987 and headquartered in Austria, employs more than 700 staff across 15 countries and has installations in over 100 markets. Its technologies support safety, capacity and efficiency improvements for rail operators under varied operational and environmental conditions. The company has a particularly strong presence in Europe and India, which Wabtec sees as key growth regions.
Wabtec stated that the acquisition supports its strategy to expand in high-growth railway signalling markets, adding complementary technologies to its digital offering. Frauscher is expected to generate roughly €145 million in revenue in 2025.
Under the transaction terms, Wabtec acquired Frauscher for an enterprise value of €675 million in cash, reflecting an estimated multiple of 12.4× projected 2025 EBITDA, adjusted for run-rate synergies targeted over three years. The company expects the deal to be slightly accretive to adjusted EPS in the first year and accretive to ROIC over time.
Wabtec plans to integrate Frauscher into its Digital Intelligence business, combining train-detection technologies with its current signalling and analytics platforms. The company says the combined portfolio will support operators seeking to improve network performance, reliability and safety amid rising traffic demands.
